These Terms of Use govern your access to and use of the Pinnacle Real Estate website, platform, and related services, including Pinnacle Edge (collectively, the "Services"). By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Services.

1. About Pinnacle Real Estate

Pinnacle Real Estate is a Canadian advisory and technology firm based in Ontario. Through Pinnacle Edge and related offerings, we provide financial modeling tools, underwriting support, analytical outputs, and AI assisted data processing for real estate transactions and related business activities.

2. Eligibility

You must have the legal capacity to enter into binding agreements under applicable law to use the Services. By using the Services, you represent that you meet this requirement.

3. Permitted Use

You may access and use the Services solely for lawful business purposes. You agree not to:

• Reverse engineer, copy, modify, or create derivative works of the Services

• Use the Services to upload unlawful, infringing, or unauthorized content

• Attempt to gain unauthorized access to systems or data

• Interfere with or disrupt the integrity or performance of the Services

• Use the Services for fraudulent or misleading purposes

Pinnacle reserves the right to suspend or terminate access if these Terms are violated.

4. No Investment, Legal, or Professional Advice

The Services, including any financial models, projections, underwriting outputs, or AI generated analyses, are provided for informational and analytical purposes only. They do not constitute investment advice, legal advice, tax advice, accounting advice, or any other professional advisory service.

Users are solely responsible for independently verifying all outputs and conducting their own due diligence before making investment or business decisions. Pinnacle Real Estate does not guarantee financial performance, investment returns, or the accuracy or completeness of any output.

5. Artificial Intelligence and Automated Processing

Certain features of the Services may use artificial intelligence or automated data processing technologies to extract, interpret, or analyze information provided by users.

AI generated outputs may contain inaccuracies or errors. Users are responsible for reviewing and validating all AI generated results before relying on them. AI functionality does not replace professional judgment. Pinnacle may use anonymized and aggregated data to improve system performance, provided such use does not disclose identifiable client information.

6. Intellectual Property

All content, software, models, algorithms, branding, designs, documentation, and materials made available through the Services are the exclusive property of Pinnacle Real Estate or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non exclusive, non transferable right to access and use the Services in accordance with these Terms. No ownership rights are transferred.

7. Confidential Information

If you submit information to the Services, you retain ownership of your data. Pinnacle will handle personal information in accordance with its Privacy Policy. You are responsible for ensuring you have the necessary rights and permissions to upload any information into the Services.

8. Availability

The Services are provided on an "as is" and "as available" basis. Pinnacle does not guarantee uninterrupted access, error free operation, or that the Services will meet your specific requirements.

Scheduled maintenance, upgrades, and third party infrastructure interruptions may impact availability.

9. Limitation of Liability

To the fullest extent permitted by law, Pinnacle Real Estate shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, loss of business opportunities, loss of data, or investment losses arising from or related to the use of the Services. Total liability arising from or related to the Services shall not exceed the total amount paid by the user to Pinnacle Real Estate during the twelve month period preceding the claim. Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

10. Indemnification

You agree to indemnify and hold harmless Pinnacle Real Estate, its affiliates, officers, and representatives from any claims, damages, losses, or expenses arising from:

• Your misuse of the Services

• Your violation of these Terms

• Your infringement of third party rights

• Your uploaded content

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

12. Modifications

Pinnacle Real Estate may update these Terms from time to time. Updated versions will be posted on the website and will take effect upon publication. Continued use of the Services constitutes acceptance of the updated Terms.
